Abstract:To minority shareholders, the right to voting the corporate director is a passive right, which means that minority shareholders ballot positive or passive vote to the director candidate who was nominated by the board of director. In order to protect the minority shareholder’s rights, we should give minority shareholders the right of nominating director candidate, which means that in one hand, the right of nominating director candidate is an very important right for the shareholder democracy, in the other hand, the shareholder proposal rule may be selective applied to the right of nominating director candidate.
